General Terms and Conditions

For web design, SEO, GEO, content, maintenance and hosting services by WPressProfis. The offer is aimed exclusively at businesses. This English version is provided for convenience; the German version is legally binding.

Last updated: October 2026

These General Terms and Conditions (hereinafter “Terms”) govern the contractual relationship between WPress Group LTD, trading under the brand WPressProfis (hereinafter “Provider”, “we”), and its customers (hereinafter “Customer”) for services in the areas of web design and website creation, WordPress and WooCommerce, SEO and Local SEO, AI Search / Generative Engine Optimization (GEO), content and copywriting, the AI visibility check, and maintenance and hosting. The offer is aimed exclusively at businesses.

§ 1 Scope and provider

(1) These Terms apply to all contracts for services provided by the Provider, regardless of whether they are concluded via the website, the client area at kunden.wpressprofis.de or on the basis of an individual quote.

(2) The offer is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law and special funds under public law. No contracts are concluded with consumers (§ 13 BGB). When ordering, the Customer confirms that they are acting as a business.

(3) The Provider is:
WPress Group LTD (brand: WPressProfis)
Piccadilly Business Centre, Aldow Enterprise Park
Manchester, M12 6AE, United Kingdom
Company number: 16682136 (Registered in England and Wales)
German Office: Cologne · Email: kontakt@wpressprofis.de

(4) Deviating, conflicting or supplementary general terms and conditions of the Customer are hereby rejected. They only become part of the contract if the Provider has expressly agreed to their validity in text form.

§ 2 Subject matter and description of services

(1) The specific scope of services results from the respective service or plan description on the website or in the client area at the time of ordering, any individually agreed quote, and these Terms. In the event of contradictions, the individual quote takes precedence.

(2) The creation of a website, an online shop or individual pages as well as the AI visibility check as a report are contracts for work within the meaning of §§ 631 et seq. BGB. Ongoing services such as SEO, GEO and content support as well as maintenance are contracts for services within the meaning of §§ 611 et seq. BGB; here the Provider owes the professional performance of the agreed activities, but not a specific economic result.

(3) The Provider is entitled to provide services in whole or in part through carefully selected subcontractors (e.g. developers, copywriters, data centres) and using third-party software tools, including AI-assisted tools. Professional responsibility and quality control remain with the Provider.

§ 3 Conclusion of contract

(1) The presentation of services, packages and prices on the website does not constitute a legally binding offer, but an invitation to submit an offer.

(2) For orders placed via the ordering process, the Customer submits a binding offer by sending the order. The contract is concluded upon acceptance by the Provider in text form, at the latest when performance begins. The automatic order confirmation does not yet constitute acceptance.

(3) For individual quotes (in particular for website projects), the contract is concluded when the Customer accepts the quote in text form or pays the agreed deposit.

(4) If, after an online order, the Provider determines that the Customer’s website does not match the booked service (e.g. considerably larger scope or significant technical problems), the Provider may submit an adjusted quote or decline the order. If no agreement is reached, payments already made will be refunded in full.

§ 4 Website projects: process, approvals and acceptance

(1) Website projects are implemented in the phases described in the quote (usually strategy, structure, design, development, SEO and GEO, launch). The Provider makes interim results available to the Customer for approval, in particular via the client area.

(2) The number of included revision rounds is set out in the quote. Requests for changes and extensions that go beyond the agreed scope or approvals already given will be charged separately after prior agreement.

(3) Upon completion, the Provider notifies the Customer that the work is ready for acceptance. The Customer examines the work within 14 days and declares acceptance or specifically reports material defects. Immaterial defects do not entitle the Customer to refuse acceptance. The work is deemed accepted if the Customer does not report any material defects within this period or publishes (launches) the website at their request and uses it productively.

(4) Project durations stated in quotes and on the website are non-binding guide values and require the timely cooperation of the Customer.

§ 5 Customer’s obligations to cooperate

(1) The Customer provides the Provider in good time and free of charge with all necessary information, content (e.g. texts, images, logos) and access, in particular to hosting, domain, content management system, Google Search Console, web analytics tools and Google Business Profile.

(2) The Customer reviews submitted drafts, content and proposals within a reasonable period and gives approval or communicates requested corrections. By giving approval, the Customer assumes responsibility for the factual and legal accuracy of the approved content (e.g. service promises, price information, legal notice, privacy policy, industry-specific advertising regulations).

(3) Delays due to missing or late cooperation by the Customer are not the responsibility of the Provider. If a project is suspended for more than three months for reasons for which the Customer is responsible, the Provider is entitled to invoice the services rendered up to that point.

§ 6 Client area

(1) With the first order or at the start of the project, the Customer receives access to the client area at kunden.wpressprofis.de. There the Provider makes available in particular project status, approvals, reports, support requests, contracts and invoices.

(2) The Customer keeps their access data secret and informs the Provider immediately if misuse is suspected. Approvals and declarations given via the client area are deemed to be declarations in text form.

§ 7 Ongoing services (SEO, GEO, content, maintenance and hosting)

(1) Monthly allowances (e.g. page optimizations, new content, strategy calls) apply to the respective billing month. Unused allowances expire at the end of the billing month and are not refunded, unless the non-use is due to circumstances for which the Provider is responsible.

(2) For maintenance and hosting, the Provider provides storage space, computing power and maintenance services within the scope of the booked plan. The stated resources are upper limits. The Customer is responsible for the content operated on the hosting. Within the plan, the Provider creates regular backups; these serve for restoration in the event of a malfunction and do not replace the Customer’s own data backup.

(3) The Provider strives for high availability. A specific availability is only owed if expressly agreed. The Provider is entitled to carry out necessary maintenance and security work, where possible during periods of low usage.

§ 8 AI visibility check

(1) The AI visibility check is a one-time analysis of whether and how the Customer’s business is named in AI systems (e.g. ChatGPT, Gemini, Perplexity, Google AI Overviews) in response to typical customer questions. The result is provided as a report in the client area.

(2) Responses from AI systems are not deterministic and change constantly. The report reflects the status at the time of the check; deviating results at a later time do not constitute a defect.

§ 9 No ranking or success guarantee

(1) Rankings in search engines as well as mentions and citations in AI systems are determined exclusively by the respective operators according to their own, non-public and constantly changing criteria. The Provider has no direct influence on this.

(2) The Provider therefore does not guarantee specific rankings, visibility scores, traffic figures, enquiries, revenues or mentions in AI answers. Information on expected time frames, results and PageSpeed scores are non-binding guide or target values.

§ 10 Content, third-party rights and rights of use

(1) The Customer ensures that the content they provide is free of third-party rights or that they hold the necessary rights. The Customer indemnifies the Provider against third-party claims based on a breach of this obligation.

(2) Upon full payment of the respective remuneration, the Customer receives a simple right of use, unlimited in time and space, for their own purposes in the work results created by the Provider (e.g. designs, website, texts, concepts, reports). Until then, the results are provided for review only.

(3) The respective licence terms of the rights holders apply to third-party components used (e.g. WordPress, themes, plugins, fonts, stock photos). Ongoing licence costs for paid components are borne by the Customer unless otherwise agreed.

(4) The Provider does not use impermissible methods that violate the guidelines of search engine operators. If the Customer requests measures that, in the Provider’s assessment, create such a risk, the Provider may decline them.

§ 11 Prices, invoicing and payment

(1) The prices stated on the website or in the client area at the time of ordering, or agreed in the individual quote, apply. All prices are final prices incl. VAT. No additional VAT is charged; the invoice shows €0.00 VAT (for businesses in Germany, Austria and the EU under the reverse-charge procedure, with the recipient of the service liable for tax; otherwise due to the Provider not being registered for VAT). Any taxes owed by the recipient of the service in their own country must be paid by the recipient.

(2) Customers based in the European Union provide their valid VAT ID number when ordering; customers outside the EU (e.g. Switzerland, United Kingdom) provide their tax number, VAT number or UID.

(3) For website projects, unless otherwise provided in the quote, a deposit of 50% of the quoted amount is due upon placing the order; the remaining amount is due upon acceptance. Ongoing services (subscriptions) are invoiced monthly in advance, starting on the day of the order. One-time services (e.g. the AI visibility check) are due upon ordering.

(4) Payment is made via the payment service provider Stripe by credit/debit card or SEPA direct debit, or by bank transfer on invoice where offered. Invoices are provided electronically by email and in the client area.

(5) If the Customer is in default of payment, the Provider is entitled to charge statutory default interest and, after prior notice, to suspend performance, in particular hosting and maintenance, until the outstanding amounts have been settled. Costs of a returned direct debit for which the Customer is responsible are borne by the Customer.

§ 12 Term and termination

(1) Unless otherwise agreed, ongoing services (SEO, GEO and content support, maintenance and hosting) have no minimum term. The term is one month from the order and is automatically extended by a further month in each case unless the contract is terminated.

(2) The Customer may terminate ongoing services at any time as of the end of the current billing month, via the client area or in text form (e.g. by email to kontakt@wpressprofis.de). The Provider may terminate with 14 days’ notice as of the end of a billing month. Fees already paid for the current month are not refunded pro rata in the event of ordinary termination.

(3) A change to another plan or package is possible as of the beginning of the next billing month. For website projects, § 648 BGB applies in the event of termination by the Customer.

(4) The right of both parties to extraordinary termination for good cause remains unaffected. Good cause exists for the Provider in particular if the Customer is in arrears with payment of more than one monthly fee or uses the services unlawfully.

(5) After the end of the contract, the Provider will make the data of the Customer’s website available to the Customer upon request, provided there are no outstanding claims. Access granted will be returned or removed.

§ 13 Liability

(1) The Provider is liable without limitation for damage resulting from injury to life, body or health based on a negligent or intentional breach of duty, as well as for damage based on intent or gross negligence.

(2) In the event of a slightly negligent breach of a material contractual obligation (cardinal obligation), liability is limited to the foreseeable damage typical for the contract. Material contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the Customer may regularly rely.

(3) Otherwise, liability for slight negligence is excluded. This applies in particular to damage resulting from algorithm changes or outages of search engine and AI providers, and to lost profits. The Provider is liable for the loss of data only to the extent that the damage would also have occurred if the Customer had backed up data properly. Liability under the Product Liability Act and from guarantees assumed remains unaffected.

§ 14 Confidentiality and references

(1) Both parties treat all confidential information obtained in the course of the cooperation, in particular access data, business figures and strategies, as confidential. This obligation continues beyond the end of the contract.

(2) The Provider may name the Customer and the website created as a reference only with the Customer’s prior consent in text form.

§ 15 Data protection and data processing

(1) The Provider processes personal data in accordance with the applicable data protection laws. Details can be found in the privacy policy.

(2) Insofar as the Provider processes personal data on behalf of the Customer (e.g. for hosting, maintenance or access to analytics data), the parties conclude a data processing agreement pursuant to Art. 28 GDPR. This will be provided to the Customer upon request.

§ 16 Changes to these Terms

(1) The Provider reserves the right to amend these Terms with effect for the future, insofar as this is necessary for a valid reason (e.g. changes in the legal situation, case law or the technical or economic framework) and the Customer is not unreasonably disadvantaged as a result.

(2) Changes will be communicated to the Customer in text form. If the Customer does not object within 30 days of receipt of the notification, the amended Terms are deemed accepted. The Provider will specifically point out the significance of silence in the notification. In the event of an objection, either party may terminate ongoing contracts as of the end of the billing month.

§ 17 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), unless mandatory statutory provisions conflict with this.

(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is, to the extent legally permissible, the location of the Provider’s German office (Cologne).

(3) The Provider is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board; the offer is aimed exclusively at businesses.

(4) Should individual provisions of these Terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected.
